بينما أخذ السيد عبدالمجيد بريش، رئيس المؤسسة
الليبية للإستثمار ومديرها التنفيذي، علما بما أعلن عن تعيين مجلس الأمناء القائم
في طبرق، للسيد علي الشامخ رئيسا ومديرا تنفيذيا للكيان الموازي القائم في طبرق...
وبينما أخذ السيد بريش علما بتقديم السيد حسن بوهادي استقالته كرئيس مزعوم للكيان
الموازي القائم في طبرق...
فإن السيد بريش قد سبق وأن عبر عن أسفه العميق
والمستمر لإنشاء الكيان الموازي أصلا، ولا يزال هذا موقفه. ورغم ذلك فقد بذل السيد
بريش جهودا مضنية من أجل الوصول إلى حلول عملية ناجعة لخدمة المصالح العليا
للمؤسسة والمصالح العليا للوطن. ولكن هذه الجهود أحبطت نتيجة تعنت السيد بوهادي
وعدم الرغبة في الوصول الى أي نوع من التسوية، وغياب المهنية في التعامل.
كما أحيط السيد عبدالمجيد بريش بقرار المجلس
الرئاسي لحكومة الوفاق الوطني رقم 115 الصادر في 15 أغسطس 2016 بتعيين لجنة
تسييرية مؤقته للمؤسسة الليبية للإستثمار.
وقد شارك السيد بريش في الأسابيع القريبة الماضية
في سلسلة من المناقشات مع المسؤولين المعينين من قبل مجلس الأمناء في طبرق، بهدف
تأسيس مجلس إدارة موحد يصدق عليه كل من حكومة الإتفاق الوطني ومجلس الأمناء في
طبرق. ويتوقع عقد اجتماع رسمي في بداية الأسبوع القادم. ويظل السيد بريش على أمل
كبير بأن هذه الجهود ستؤدي الى نتيجة إيجابية.
ولكن السيد بريش، كرئيس ومدير تنفيذي للمؤسسة،
يشعر بواجب التنبيه إلى العيوب التي ينطوي عليها قرار المجلس الرئاسي واللجنة
التسييرية التي يزعم إنشاءها. ونشير على وجه الخصوص الى ما يلي:

تتساءل المؤسسة حول شرعية المجلس الرئاسي في اتخاذ هذا
القرار.
لهذا السبب، وغيره من الأسباب، فإن السيد بريش يتساءل حول ما إذا كان هذا القرار متمشيا مع القانون الليبي العام، والقوانين التي أنشئت بموجبها المؤسسة، خاصة القانون رقم 13 المؤسس للمؤسسة ويحكم سير عملها. فحسب ذلك يكون مجلس الأمناء هو الجسم الوحيد الذى يملك حق تعيين أعضاء مجلس الإدارة والمدراء التنفيذيين للمؤسسة.
فحكومة الوفاق الوطني لم تعين حتى هذا التاريخ مجلسا للأمناء وذلك لعدم التصديق عليها بعد من قبل البرلمان في طبرق. ولربما هذا هو ما يفسر عجز حكومة الوفاق نفسها عن تعيين مجلس أمناء للمؤسسة ولجأت عوضا عن ذلك إلى تعيين اللجنة التسييرية التي من المحتمل أن يعارض تأسيسها من قبل البرلمان أيضاً في طبرق ومن قبل مجلس الأمناء التابع لها. ويأسف السيد عبدالمجيد بريش شديد الأسف إلى إقحام هذه العوامل السياسية في شؤون المؤسسة الليبية للإستثمار. إن تعيين اللجنة التسييرية لا يخدم مصلحة الوفاق بل يعقد عملية عملية إدارة النزاعات ويزيد من عدد المدعين لرئاسة المؤسسة الليبية للإستثمار.
2.
تتساءل المؤسسة حول الخبرات الفنية التي يملكها
الأعضاء المعينون في اللجنة. كما يأسف
السيد بريش لأن المجلس الرئاسي يقوم بتسليم السلطات والصلاحيات في شؤون تنطوي على
درجة عالية من التعقيد لأشخاص يفتقدون الخبرة المالية والقانونية، بل حتى اللغوية،
لتوليها. ويجب الإشارة هنا إلى أن هذا
يخالف المادة 10 من القانون 13 والتي تنص
على أن "مجلس إدارة المؤسسة الليبية للإستثمار المكون من سبعة أفراد بمن فيهم
الرئيس ونائبه"، يجب أن يمتلك الخبرة الأكاديمية والعملية في مختلف مجالات
الإدارة والإستثمار للأموال والأصول.
إن نجاح المؤسسة وتقدمها المتواصل لا يمكن المحافظة عليه أو استمراره إلا بوجود اشخاص في مواقع المسؤولية لهم القدرة علي فهم واستيعاب صعوبات وتعقيدات إدارة وتسيير صندوق ثروة سيادي بقيمة 67 ميليار دولار، ومتابعة مجموعة من القضايا القانونية غاية في التشابك والتعقيد، والحرص على عدم وقوع أموال المؤسسة المجمدة بين أيدي تريد استغلالها من أجل تمويل الحرب الأهلية المستمرة في ليبيا.
وبموجب قرار مجلس الأمن الدولي 1970 من 26 فبراير
2011، فإن معظم أصول المؤسسة الليبية للإستثمار والبالغة قيمتها 67 مليار دولار
مجمدة، وذلك بهدف الحفاظ عليها وحمايتها من الإختلاس والفساد.

كما تتساءل المؤسسة حول آثار وتبعات قرار المجلس
الرئاسي على الدعاوى القانونية المرفوعة أمام المحاكم. فإن للقرار 115 تبعات وعواقب
هامة على الدعاوى القضائية التي تلاحقها المؤسسة أمام المحاكم الإنجليزية وغيرها.
إن نجاح القضايا المرفوعة ضد مصرف جولدمان ساكس وسوسياتيه جنرال، التي رفعتها المؤسسة في عام 2014، مرهون بدراية كاملة بتفاصيل مؤسساتية متخصصة حول جوانب متعددة ومتشابكة لتلك المداولات.
ومن الواضح أن هذه العواقب والآثار لم تؤخذ بعين الإعتبار ممن جاءوا بهذا الفكرة وإصدار القرار 115. كما لم تبذل أي جهود للتشاور مع السيد بريش أو غيره من المشاركين في هذه القضايا.
وهذا تصرف معيب
للغاية، خلق للمؤسسة مخاطر قانونية ومالية تحتاج إلى التعامل معها بصورة مستعجلة.
فقد خصصت المؤسسة وقتا طويلا وموارد هائلة في التقدم بهذه القضايا، التي يتوقع
منها إعادة ملايين الدولارت لخزينة الوطن وأبنائه، وهم المالكون الأحق لهذه
الأموال. وستسعى المؤسسة من طرفها الى ملاحقة من تدعي أنهم استفادوا من أعمال
فاسدة وتعاملات غير سليمة تمت خلال الحكم السابق، ولضمان إقامة العدالة ورد الحقوق
إلى اصحابها.
4.
وتتساءل المؤسسة حول التجاوب المتسرع من قبل المجتمع
الدولي لهذا القرار. إنه لمن سوء الحظ حقا أن
البيان الدولي المشترك الصادر في 27 أغسطس 2016 تأييدا للجنة التسييرية الجديدة،
لم يأخد في الإعتبار أي من هذه النقاط الهامة إطلاقا.
حتى هذا التاريخ لم يستلم السيد بريش أي إشعار
رسمي من الجهات التي أصدرت القرار بتعيين اللجنة التسييرية المؤقتة، أو بإعطائه أي
تخويل بتسليم المسئوليات المناطة به. وعند استلامه إشعار بهذا الخصوص فسوف يتقدم
السيد بريش بطلب رسمي للحصول على أمر قضائي لدى القضاء الليبي لتوضيح الموقف
القانوني.
Libyan Investment Authority issue statement
regarding the Interim Steering Committee
Tuesday 23 August 2016, Tripoli:
Mr Abdulmagid Breish, Chairman and Chief
Executive Officer of the Libyan Investment Authority (LIA), takes note of the
purported appointment by the Tobruk-based Board of Trustees of Mr Ali Shamekh
as chief executive officer of the Tobruk parallel operation. Mr Breish also
takes note of the presentation by Mr Hassan Bouhadi of his resignation as
purported chairman of the Tobruk parallel operation.
Mr Breish has consistently regretted the
establishment of the parallel operation and continues to do so. He has
nevertheless made many attempts to find pragmatic solutions in the best
interests of the LIA and Libya. These attempts have been frustrated by Mr
Bouhadi’s intransigence, unwillingness to cooperate and lack of
professionalism.
Mr Breish also takes note of Resolution 115 of
the Presidential Council of the Government of National Accord (GNA) of 15
August 2016 appointing an Interim Steering Committee in relation to the LIA.
Mr Breish understands that the issue of
Resolution 115 was motivated by the wish to resolve the ongoing dispute between
the LIA and the parallel Tobruk entity.
Mr Breish shares this ambition. In recent weeks
he has engaged in productive conversations with directors of the
Tobruk-appointed board of trustees, with the aim of establishing a single,
united Board of Directors that can be approved by both the GNA and the
Tobruk-based Board of Trustees. A formal meeting is expected early next week,
and Mr Breish remains hopeful that this will lead to a successful outcome.
However, as Chairman and CEO of the LIA, Mr
Breish has a responsibility to point out the defects in the Presidential
Council resolution and in the Steering Committee it purports to establish.
Specifically:
1. The
LIA questions the legality of the Presidential Council resolution. Mr
Breish questions whether the Presidential Council resolution complies with
Libyan law, with the founding documents of the LIA, and in particular with Law
13 that governs the LIA. The only body entitled to appoint directors and
executive managers of the LIA is the LIA’s Board of Trustees.
As of this date the GNA has not established a
Board of Trustees because its own appointment has not been ratified by the
House of Representatives (HoR). This
likely also explains why the GNA has not been able to itself constitute a board
of trustees and has instead set up this Steering Committee, whose creation is
therefore also likely to be opposed by the HoR and its board of trustees. Mr
Breish regrets that these political issues have now been introduced into the
affairs of the LIA. The appointment of the Steering Committee does not serve
the purpose of achieving reconciliation and it complicates the process of
managing and pursuing the litigations. It also increases the number of claimants
to the chairmanship of the LIA.
2. The
LIA questions the technical expertise of those appointed to the Steering
Committee. Mr Breish also regrets that the Presidential Council resolution
provides for handing over authority and responsibility of complex matters to
persons who lack the financial, the legal and even the linguistic expertise to
assume them. It should be noted here that this is a violation of Article 10 of
Law 13, which specifically provides that the “Board of Directors of seven
members, including the Chairman and his deputy” must have the “academic and
practical expertise in different fields of management and investment of funds
and assets.“
The continued success and progress of the LIA
can best be ensured by technically qualified persons who understand the
complexities of running a $67 billion sovereign wealth fund, the pursuit of
complex legal actions and the importance of safeguarding the LIA’s frozen
assets.
3. The
LIA questions the impact that the Presidential Council resolution will have on
the litigations. The issue of Resolution 115 has significant implications
for the litigations that the LIA is pursuing in the English courts and
elsewhere.
The successful pursuit of the litigations against Goldman Sachs and Société Générale S.A initiated by Mr Breish in 2014, for instance, requires detailed institutional knowledge of these highly complex proceedings.
These implications have clearly not been taken
into consideration by those who have devised and issued Resolution 115. Nor has
any attempt been made to consult with Mr Breish or others involved in these
cases.
This is a serious oversight, and one which has
created legal and financial risks that need to be dealt with as a matter of
urgency. The LIA has invested significant time and resources in bringing these
litigations, which carry the hopes of returning millions of dollars to Libya
and its people, to whom our funds belong. We will continue to pursue those who
have, we allege, profited from corrupt acts and improper dealings perpetrated
during the previous regime, and to ensure that justice is done.
4. The
LIA questions the over-hasty response of the international community. It is
deeply unfortunate that the joint statement of the international community
supporting the new Steering Committee, on 17 August 2016, takes no account of
these important points.
To date, Mr Breish has not received formal
notice from the issuing authority of the appointment of the Interim Steering
Committee mandating him to hand over his responsibilities. Upon receipt of such
notice he will make an application to obtain an expedited ruling of a Libyan
court to clarify the legal position.
